Darrell Armer
Director, Looper Reed & McGraw

Looper Reed & McGraw’s health law practice has substantial experience and expertise in representing and counseling a wide spectrum of health care providers.  Darrell Armer and Andy Meyercord, two of the Firm’s directors, are both Board Certified in Health Law by the Texas Board of Legal Specialization – a distinction held by less than fifty attorneys across the State.

Darrell Armer’s practice focuses on commercial transactions in the health care industry.  His practice reflects the interplay among Corporate Finance / Securities, Health Law, and Real Estate Law.  He has lent his experience to all aspects of the organization, reorganization, funding, merger/acquisition, and registration of securities of numerous entities, including specifically, hospitals, ambulatory surgery centers, physical therapy companies, diagnostic centers, management services organizations, medical and dental practices, and home health agencies.  He has extensive experience in addressing and resolving issues related to the Stark law and the Federal and state fraud and abuse statures.  He also provides guidance on operational and administrative issues, and, develops and implements compliance plans.

Specifically, his experience includes the following:

  • Syndication of partnership / company interests in hospitals, ambulatory surgery centers, diagnostic centers, and medical office buildings, including preparation of private placement memorandum.
  • Representation of physician / hospital partnerships in the development of specialty and acute care hospitals, diagnostic imaging centers and cath labs.
  • Representation of developers in the acquisition of real property and their negotiations with tenants.
  • Acquisition of ambulatory surgery centers, laboratory, physical therapy companies, and other enterprises.
  • Representation of business entities with regard to capital formation and in lending transactions.
  • Advising compliance officers of health care providers and providing resources to compliance officers.
  • Ongoing representation of health care providers in medical staff issues, peer review hearings, physician licensing, confidentiality of medical records, delivery of patient care, Medicare/Medicaid reimbursement issues, fraud and abuse and operational issues.
  • Representation of nonprofit health corporations certified by the Texas State Board of Medical Examiners on operational, employee benefit and tax-exempt issues.
